2009-2011

Clairvia, Inc. served more than 400 healthcare organizations, medical facilities, nursing departments, and group practices with advanced software solutions for patient and staff management. The company offered the Care Value Management (CVM) suite, a comprehensive software suite that enabled healthcare providers to deliver the right caregivers to the right patient at the right time.

ENGAGEMENT

In 2009, Clairvia engaged ST Advisors for a Strategic Assessment to conduct an in-depth review of the company’s ultimate valuation drivers and to discuss potential strategic partners and acquirers. Following a corporate rebranding, we then assisted Clairvia’s management in developing an overview presentation to introduce the company, its solutions, and its core value proposition to potential strategic partners.

From there, our relationship with Clairvia deepened to an ongoing retained advisory role in which we worked with management to assess strategic options and goals. When it came time to contemplate a strategic exit, ST Advisors worked with management to engage the appropriate investment bank, and served as co-advisor in Clairvia’s sale to Cerner Corporation, relying on our transaction experience and strategic perspective to counsel the CEO throughout the process.

RESULTS

Cerner Corporation acquired Clairvia in October 2011, an excellent outcome for all parties involved, with Clairvia’s founder remaining with Cerner for over four years.

“After engaging in a Strategic Diagnostic, Clairvia decided to enlist ST Advisors for a broader strategic analysis of our ultimate liquidity options. From that day forward, Ben became my valued and trusted advisor. Over the next several years we leveraged his deep expertise and well-rounded outside perspective to provide us the necessary coaching and feedback while looking out for the company’s best interest. When we started receiving attention from potential strategic buyers, ST Advisors transitioned into a trusted ‘M&A Coach’ who helped us select our banker, and never left our side during the entire transaction. I am very grateful for their support, advocacy, and work through the entire, successful process.”
