Vocera Communications (NYSE:VCRA) is a leading provider of mobile communication solutions empowering integrated, intelligent communication for mission-critical environments in healthcare, as well as hospitality, energy, retail, and other mobile work environments. Its solutions are installed in more than 1,000 organizations worldwide.
In January 2013, the senior leadership team at Vocera wanted to explore external growth opportunities, both to expand their suite of service offerings and to increase their customer wallet share. ST Advisors was engaged to assist with the internal business development efforts.
We began the engagement by working with Vocera’s management team to gain a deep understanding of the company’s healthcare business and inorganic growth objectives. We then explored Vocera’s areas of interest in depth, developing an initial target list of more than 125 potential acquisitions and collaborated with management to narrow the focus to the top 30+ targets. From there, we reached out to each candidate company to determine both potential interest and strategic fit with Vocera. Given the reach of our experience and industry relationships, we were able to connect directly with the vast majority of our initial targets.
Over the course of several months, Vocera held discussions about a potential partnership with mVisum, a provider of smart alarm management solutions that help hospitals resolve alarm fatigue and improve care quality. In August 2013, we were asked to elevate the conversation to focus on a potential acquisition rather than partnership. We were able to help both sides reach consensus on timing, structure, and value, and in January 2014, Vocera finalized its acquisition of mVisum.
